Canal Plus gets antitrust clearance for TVN pay-TV platform takeover


The Office of Competition and Consumer Protection (UOKiK) on 14 September gave the green light for French pay-TV group Canal Plus to merge its digital satellite television operations in Poland with those of TVN, the country’s number one private television company (CYFRA+ and n, respectively). The deal, first announced in December 2011, creates a premium pay-TV provider in Poland with 2.5 million paid subscribers, second only to Polsat Cyfrowy with 3.55 million.

Canal Plus will own 51% of the new entity while TVN will take up a 32% stake, with the remaining 17% to be held by UPC, a unit of US group Liberty Global. The newly created platform will cooperate with TVN in content development and production. Canal Plus will also pay €230m for 40% of shares in N-Vision, a company that indirectly controls just over 20% of TVN.

In June TVN agreed to sell 75% of shares in, the leading online portal in Poland, to Ringier Axel Springer.
